- File Form 3 with MCA. The LLP agreement must be filed in Form 3 within 30 days of incorporation.
- Late fee. Late filing costs ₹100 per day, so file on time.
- Keep it updated. Any change in partners, contribution or profit share needs a supplementary agreement and a fresh Form 3 / Form 4.
Common questions
Is an LLP agreement compulsory?
Yes. Section 23 of the LLP Act, 2008 requires the agreement to be filed with the Registrar. If there is no agreement, Schedule I of the Act applies — which splits profit equally and may not suit you.
How many designated partners are needed?
At least two, and at least one of them must be resident in India. Designated partners need a DIN/DPIN.
Is audit needed for an LLP?
Audit is needed when turnover is above ₹40 lakh or contribution is above ₹25 lakh in a financial year.
Can partners get interest and salary?
Yes, if the agreement allows it. Interest up to 12% a year and salary to working partners within the limit of section 35(e) of the Income-tax Act, 2025 are deductible for the LLP. The firm must deduct 10% TDS if the total paid to a partner crosses ₹20,000 in the year.
