How to make your partnership deed

  1. Firm details. Name, business and address — only 3 things to type.
  2. Partners. Name, father’s name, age, address, capital and profit share for each partner.
  3. Terms. Already set to the best tax-saving options — interest at 12% and maximum salary allowed by law.
  4. Sign. Date, place and witnesses. Download the full deed as a Legal-size PDF or Word file.
After download: print page 1 on stamp paper (or e-stamp) of the value fixed by your state, get every page signed by all partners, and have two witnesses sign at the end. Notarisation is optional but recommended.

Common questions

Is this partnership deed legally valid?

Yes, once it is printed on stamp paper (or e-stamped) of the right value, signed by all partners and witnessed. The deed covers every term the Indian Partnership Act, 1932 expects partners to agree on — capital, profit ratio, interest, salary, bank, retirement, death, dissolution and disputes.

How much stamp duty is payable?

Stamp duty on a partnership deed is fixed by each state’s Stamp Act and usually depends on the capital. Check the current rate for your state, or buy an e-stamp from SHCIL or an authorised vendor. Print page 1 of this deed on the stamp paper.

Why does the deed mention section 35(e) of the Income-tax Act, 2025?

From tax year 2026-27, section 35(e) decides how much interest and salary a firm can deduct. Interest is allowed up to 12% a year. Salary to working partners is allowed only if the deed authorises it: on the first ₹6 lakh of book profit (or a loss) ₹3 lakh or 90%, whichever is higher, and 60% of the rest. The deed is drafted to claim the full deduction.

Is registration of the firm compulsory?

Not compulsory, but strongly advised. An unregistered firm cannot file a civil suit to recover money from others (section 69). Register with the Registrar of Firms of your state by filing the application under section 58 with this deed.

Can a minor be a partner?

No. Under section 30, a minor can only be admitted to the benefits of the partnership, with the consent of all partners. The tool warns you if any partner is under 18.

What is the maximum number of partners?

A partnership firm can have up to 50 partners under the Companies Act, 2013 and its rules. Beyond that, it must be a company or LLP.

Is TDS needed on partner salary and interest?

Yes. Since 1 April 2025, the firm must deduct 10% TDS on salary, remuneration, commission, bonus or interest paid or credited to a partner if the total crosses ₹20,000 in the year.

What next after the deed is signed?

Apply for the firm’s PAN, open a current account in the firm’s name, take GST registration if needed, and register the firm with the Registrar of Firms.
